Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the website and services provided by Magnolia Business Alliance ("Company," "we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Services Description

Client Responsibilities

Engagement Process
All service engagements begin with an initial consultation to understand your needs and objectives. Following the consultation, we will provide a proposal outlining the scope of work, deliverables, timeline, and fees. Services commence upon your written acceptance of the proposal and any required deposits.
Fees and Payment
Fee Structure: Fees for our services are determined based on the scope and complexity of each engagement. We offer hourly rates, project-based pricing, and retainer arrangements depending on your needs.
Payment Terms: Unless otherwise specified in your engagement agreement, invoices are due within thirty (30) days of the invoice date. We accept payment via bank transfer, credit card, and check.
Late Payments: Overdue amounts may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts more than 45 days past due.
Intellectual Property
Our Materials: All proprietary methodologies, frameworks, tools, templates, and materials developed by Magnolia Business Alliance remain our intellectual property. Clients receive a limited license to use deliverables for their internal business purposes only.
Client Materials: All information, data, and materials provided by clients remain their property. We will only use such materials for the purpose of delivering services.
Work Product: Unless otherwise agreed in writing, deliverables created specifically for a client engagement become the client's property upon full payment of all associated fees.
Confidentiality
We maintain strict confidentiality regarding all client information and business matters. We will not disclose confidential information to third parties without your written consent, except as required by law or as necessary to perform our services using approved subcontractors.
Clients agree to maintain confidentiality regarding our proprietary methods, pricing, and any confidential business information shared during our engagement.
Limitation of Liability
Professional Services: Our consulting services are advisory in nature. While we strive to provide accurate, high-quality advice, ultimate business decisions and their implementation remain the client's responsibility.
Liability Cap: To the maximum extent permitted by law, our total liability for any claims arising from services rendered shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.
Consequential Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Magnolia Business Alliance, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your breach of these Terms
- Your violation of any applicable laws
- Your use of our services or deliverables
- Any third-party claims related to information you provided to us
Termination
Either party may terminate an engagement with thirty (30) days written notice. Upon termination, the client shall pay for all services rendered and expenses incurred up to the termination date. We will provide all completed deliverables and work in progress upon receipt of final payment.
We reserve the right to terminate services immediately for non-payment, breach of these Terms, or illegal or unethical conduct.
Website Use
Acceptable Use: You may use our website for lawful purposes only. You agree not to use the website to transmit harmful content, attempt unauthorized access, or interfere with the website's operation.
Content Accuracy: While we strive to maintain accurate information on our website, content is provided for general information purposes. We make no warranties regarding the completeness or accuracy of website content.
Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Hancock County, Mississippi.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law principles.
Modifications
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after modifications constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with any specific engagement agreements, constitute the entire agreement between you and Magnolia Business Alliance regarding the subject matter herein.
